According to the Penn Alumni By-Laws (Article VI), the management and control of Penn Alumni is vested in the Board of Directors, which conducts the business of Penn Alumni under its By-Laws. Further, the Board shall be responsible for proper action on all matters in which alumni of all University divisions and schools may be interested and shall represent and have power to act for the whole University alumni body.

The Penn Alumni Council of Representatives (Article VII) is a microcosm of Penn Alumni organized to provide input and insight on the activities of the Association by maintaining close and constructive contact with the Board. Council membership includes the entire Board of Directors, past Board Presidents, past Alumni Trustees, and all Class and Regional Club Presidents.
Regular meetings of the Board are generally held threes time a year. Two of these meetings are held jointly with the Council during Alumni and Homecoming Weekends. These two joint meetings are announced in the Alumni and Homecoming Weekend Guides and are open to all alumni.
